面对区块链和虚拟货币的迅速发展，澳大利亚政府采取了审慎监管与拥抱新生事物并重的应对策略。对于这一新兴趋势，澳大利亚于2017年修改了其《反洗钱和反恐怖主义融资法》并加入对于数字货币AML/CTF的相关规定，澳大利亚交易报告和分析中心（Australian

Transaction Reports and Analysis Centre,

AUSTRAC)对于数字货币交易平台的反洗钱和反恐怖主义融资义务做出一些列正式指引，澳大利亚证券与投资委员会（ASIC）下设创新中心（innovation

hub）来促进监管与金融科技的创新接轨，ASIC也发布了一些列关于代币发行的指引。

我们在此对于澳大利亚目前关于数字货币的监管框架，从数字货币定义、数字货币发行和交易所的角度，做一个简单介绍：

一、关于数字货币的法律定义

澳大利亚于2017年修改的《反洗钱和反恐怖主义融资法》（AntiMoney Laundering and CounterTerrorism Financing Amendment Act 2017）中加入了对数字货币的定义：

1.数字货币是数字形式的价值的代表 a digital representation of value that:

a.可作为交换的中介、价值的储存或账户的单位 functions as a medium of exchange, a store of economic value, or a unit of account; and

b.由政府之外的机构发行 is not issued by or under the authority of a government body; and

c.可与法币兑换并可用于作为对价换取商品或服务 is interchangeable with money (including through the crediting of an account) and may be used as consideration for the supply of goods or services; and

d.一般公众可以取得，且没有任何使用方面的限制 is generally available to members of the public without any restriction on its use as consideration; or

2.或反洗钱/反恐怖主义融资法律所规定的其他交易手段、数字化程序或信贷手段。

二、数字货币发行的监管

澳大利亚关于ICO的监管主要在于判断某一类数字货币是否为金融产品，如属于金融产品应按照金融产品的相关规定进行监管，如果不属于金融产品，应按照消费者保护的相关规定（Australian Consumer Law）和一般法律规定进行监管。

当然，无论某一类数字货币是否属于金融产品，其发行的过程中都不得有误导性或欺骗性的行为，包括：

1.使用社交媒体扩大公众对于ICO的关注和兴趣度 the use of social media to generate the appearance of a greater level of public interest in an ICO

2.从事或安排特定人员以特定策略来交易买卖虚拟货币或虚拟资产，以此来在表面上产生更大的交易量

undertaking or arranging for a group to engage in trading strategies to

generate the appearance of a greater level of buying and selling

activity for an ICO or a crypto-asset

3.未充分披露发行信息 failing to disclose adequate information about the ICO, or
